Offset Modifications — Terms of Service

Welcome to Offset Modifications. These Terms of Service ("Terms") govern your access to and use of our website, services, and any graphics, models, liveries, assets, or other digital products (collectively, the "Materials"). By purchasing, downloading, accessing, or using our Materials you agree to these Terms. If you do not agree, do not use or download our Materials.

1. Definitions

• "Offset Modifications", "we", "us", "our" — Offset Modifications and its affiliates, partners, officers and agents.
• "You" or "Customer" — any individual or entity who accesses, purchases, downloads or uses the Materials.
• "Materials" — any and all digital files, models, liveries, textures, scripts, code, documentation or other content provided by Offset Modifications.
• "Locked Files" — Materials delivered in a form that restricts editing, extraction, or redistribution (unless otherwise explicitly agreed in writing).

2. Grant of License

2.1 Personal License (Default)

Unless you have purchased a separate license or received written permission from Offset Modifications, we grant you a non-exclusive, non-transferable, revocable, personal license to use the Materials for your own personal, non-commercial projects subject to the restrictions below.

2.2 Commercial or Extended Use

Commercial, promotional, resale, or distribution use of the Materials requires a separate written license from Offset Modifications. If you want to use any Materials in a commercial project, stream, asset pack, or to redistribute in any form, contact administration to obtain a commercial license and pricing.

3. Prohibited Uses and Restrictions

Unless expressly authorized in writing by Offset Modifications, you may not:

• Resell, sublicense, redistribute, or otherwise make the Materials available to third parties in whole or in part (including in compiled or unpacked form).
• Reverse engineer, unlock, decrypt, rip, extract, remove protection from, or otherwise attempt to access source or proprietary components of Locked Files.
• Claim authorship, ownership, authorship credits, or intellectual property rights in the Materials.
• Use Materials in any way that violates applicable law, or use Materials for illicit, defamatory, or obscene purposes.
• Share the Materials, or copies of them, with others (including posting to file sharing/mirroring sites, selling in bundles, or distributing in repositories).

Consequences for Violations

Violations of these restrictions may result in: immediate removal of your access to Offset Modifications products and services, notification to partner networks and community platforms, revocation of licenses, and legal action where appropriate. You may also be denied future purchases or support.

4. Ownership & Intellectual Property

All Materials are and remain the exclusive property of Offset Modifications (or our licensors). These Terms do not transfer ownership of the Materials or any intellectual property rights to you. You may not remove, obscure, or alter any copyright, trademark, or other proprietary notices embedded in the Materials.

5. Use of Models & Liveries

• Personal Use: You may use models, liveries, and other Materials for personal projects on your own devices or servers, subject to these Terms.
• No Sharing: You may not share the Materials with others or publish them where they can be downloaded by third parties.

6. Locked Files & Delivery

By default, Materials are delivered as Locked Files that prevent modification or extraction. If a different delivery format is required, this must be negotiated and confirmed in writing prior to purchase. Offset Modifications is under no obligation to provide unlocked or editable source files unless explicitly agreed.

7. Payment, Refunds, and Chargebacks

• Final Sale: All purchases are final unless Offset Modifications provides an alternative arrangement in writing. We invest significant time and resources in each commission and mod.
• Refund Requests: Refunds may be issued at our discretion and typically require a valid reason and supporting evidence. Contact administration to request a refund.
• Chargebacks: Initiating an unauthorized chargeback without first contacting Offset Modifications for resolution is strictly discouraged. If you file a chargeback, we reserve the right to suspend or terminate your access, pursue recovery of losses, and notify relevant partners and platforms. (Note: financial institutions and card networks ultimately adjudicate chargebacks.)

8. Support, Revisions, and Custom Work

• Support and revisions are provided according to the terms set at purchase. Custom work, commissions, or bespoke builds are governed by any written agreement between you and Offset Modifications.
• Turnaround times, scope, and revision limits will be defined per-order. Additional revisions or out-of-scope work may incur extra fees.

9. Termination & Suspension

We may suspend or terminate your access to Materials or services at any time for violation of these Terms, suspected fraud, chargebacks, or other conduct detrimental to Offset Modifications or its community. Termination does not limit any other remedies we may have under law or equity.

10. Warranty Disclaimer

To the fullest extent permitted by law, Offset Modifications provides Materials "AS IS" and makes no warranties or representations about the accuracy, reliability, performance, or suitability of the Materials for any purpose. We disclaim all implied warranties, including merchantability and fitness for a particular purpose.

11. Limitation of Liability

In no event will Offset Modifications (or our affiliates, licensors, or partners) be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Materials. Our total aggregate liability for direct damages arising from these Terms shall not exceed the amount you paid to us for the specific Materials that gave rise to the claim.

12. Indemnification

You agree to defend, indemnify, and hold harmless Offset Modifications from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from your breach of these Terms or your use of the Materials.

13. Privacy

Use of our website and services is also governed by our Privacy Policy, which explains how we collect, use, and protect personal data. The Privacy Policy is incorporated herein by reference.

14. Changes to the Terms

Offset Modifications may modify these Terms at any time. Updated Terms will be posted on our website with an updated "Effective Date." Continued use of the Materials after posting constitutes acceptance of the updated Terms.

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of the state or country in which Offset Modifications is registered, without regard to conflict-of-law rules. Any dispute arising from these Terms will be resolved in the appropriate courts located in that jurisdiction, unless otherwise agreed in writing.

16. Severability & Waiver

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force. Our failure to enforce any right or provision will not constitute a waiver of such right.

17. Acknowledgment

By purchasing, downloading, or using Offset Modifications Materials you acknowledge that you have read, understood, and agree to be bound by these Terms.
